(a) The General Partner shall ensure that at least two of the Key Persons remain actively involved in the management and investment activities of the Partnership throughout the Investment Period.
(b) In the event that one or more Key Persons ceases to devote substantially all of his or her professional time to the Partnership (a "Key-Man Event"), the Investment Period shall be automatically suspended. 1 Limited Partnership Agreement.pdf
(c) During such suspension, the Partnership shall refrain from making new Portfolio Investments, except for follow-on investments necessary to preserve or enhance the value of existing holdings.
(d) The suspension may be lifted only upon the approval of Limited Partners representing at least 75% of aggregate Commitments.
(e) The General Partner shall promptly notify all Limited Partners in writing of any Key-Man Event and the actions proposed to address it.
